Conditions and Terms:

By signing the Reservation Agreement, the Purchaser acknowledges and accepts to comply with all its clauses and comply and enter into Sale and Purchase Agreement of the reserved Property within a period of ten (10) days from the date of signing of this Agreement.

The Parties acknowledge and agree that signing the Sale and Purchase Agreement will replace this Agreement and all contractual obligations of the Parties will be replaced by those described in the Sale and Purchase Agreement.

The Purchaser acknowledges and accepts that signing this Agreement is only for the purpose of reserving the Property upon payment of the deposit (reservation payment) is made.

The Purchaser acknowledges and accepts the Purchase Price of the Property, the Installment Payment Schedule mentioned hereinabove and the time limit for signing the Sale and Purchase Agreement.

The parties agree that the Property will be reserved for the Purchaser for ten (10) days only. After this date, if the Purchaser fail to enter into the Sale and Purchase Agreement with the Builder, the Builder will have the right upon written notice to the Purchaser of Seven (7) working days and without the need for any proceedings to terminate the Reservation Agreement (this Agreement) while the Reservation Payment previously made by the Purchaser shall be absolutely forfeited to the Builder as liquated damages. If the Purchaser choose to not to enter into the Sale and Purchase Agreement with the Builder within ten (10) days, he/she will be entitled for the Reservation amount he/she paid at the time of reservation after deduction of 10% of the amount paid as cancellation fee.

In case this Agreement is terminated for the reasons explained hereinabove (due to Purchaser’s failure to enter into the Sale and Purchase Agreement with the Builder after ten (10) days, or the Purchaser choose to terminate this Agreement within ten (10) days from the date of signing of this Agreement), the Purchaser shall have no rights whatsoever to claim or ask for any kind of compensation from Shangrila Properties and/or its owners.

The Parties hereby agree that the agreed amount represents a genuine and logical pre-estimate of the damages that the Builder will bear as a result of such default by the Purchaser.

The Purchaser hereby acknowledges and agrees that the forfeiture of the agrees amount in the foregoing situation is fair and reasonable, is not harsh or unconscionable and does not form a penalty.

In case this Agreement is terminated prior to entering into Sale and Purchase Agreement for the reason(s) other than the default of the Purchaser to execute his/her contractual obligations under this Agreement, then the Builder will be liable to refund the Reservation Payment without any deduction. In such case, the Purchaser shall have no rights whatsoever to claim or ask for any kind of compensation from Shangrila Properties and/or its owners.
